These Terms and Conditions (“Terms”) govern your access to, and use of, the website, services, programs, content, and offerings (collectively, the “Services”) provided by B2B-VIP Executive Alliance, Inc. (“B2B-VIP,” “we,” “us,” or “our”). By accessing our website or engaging any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use this website or engage our Services.

B2B-VIP Executive Alliance provides executive networking, career advisory, leadership coaching, executive search, introductions, and related professional services.

B2B-VIP does not guarantee, promise, or represent that:

• You will obtain employment, a job offer, board seat, consulting engagement, promotion, or compensation increase; 
• You will be introduced to any specific employer, investor, or organization; 
• Any introduction or networking activity will result in a business, employment, or financial outcome; 
• Participation in any program, network, coaching engagement, or advisory service will result in any particular outcome.
   

All employment decisions are made solely by hiring organizations, investors, boards, or third parties. B2B-VIP is not the employer of any candidate and does not control hiring decisions, compensation, or employment terms.

The Services and content provided by B2B-VIP are for general informational and professional development purposes only.

B2B-VIP does not provide:

• Legal advice
• Financial or investment advice 
• Tax advice 
• Psychological, mental health, or medical advice
   

You are solely responsible for consulting your own legal, financial, tax, or other professional advisors before making decisions based on information obtained through our Services.

By engaging B2B-VIP Services, you agree that:

• All information you provide (including resumes, biographies, experience, and credentials) is accurate and truthful to the best of your knowledge; 
• You are responsible for your own decisions, actions, and outcomes; 
• You will conduct yourself professionally and ethically when interacting with other members, clients, investors, employers, and partners; 
• You will not misrepresent B2B-VIP’s role, authority, or endorsement to any third party.
   

When B2B-VIP provides executive search services, referrals, or introductions:

• B2B-VIP acts as an independent advisor or search partner, not an employer; 
• Final hiring decisions rest solely with the hiring organization; 
• Any compensation, equity, or contractual terms are negotiated directly between the candidate and the hiring organization; 
• B2B-VIP makes no representations regarding the financial stability, culture, governance, or future prospects of any hiring organization.
   

Coaching, advisory, and networking services are collaborative and developmental in nature. Outcomes depend on numerous factors beyond B2B-VIP’s control, including market conditions, individual effort, employer demand, and external economic forces.

Participation in peer networks, events, forums, or introductions does not create:

• An employment relationship with B2B-VIP; 
• A fiduciary relationship; 
• Any obligation for continued access, introductions, or opportunities.
   

Fees for Services are disclosed in separate agreements, proposals, or program descriptions. Unless expressly stated otherwise in writing:

• Fees are non-refundable once Services have commenced; 
• No refunds are issued based on dissatisfaction with outcomes or lack of employment results; 
• B2B-VIP reserves the right to modify pricing or service offerings at any time.
   

B2B-VIP will use reasonable efforts to treat client information as confidential; however:

• Information shared in group settings, events, peer forums, or networking sessions cannot be guaranteed as confidential; 
• You are responsible for determining what information you choose to disclose; 
• B2B-VIP is not responsible for disclosures made by third parties.
   

All website content, materials, frameworks, methodologies, branding, and proprietary resources are the intellectual property of B2B-VIP Executive Alliance unless otherwise stated.

You may not:

• Copy, reproduce, distribute, or commercialize content without written permission; 
• Represent B2B-VIP materials as your own.
   

To the fullest extent permitted by law:

• B2B-VIP shall not be liable for any indirect, incidental, consequential, or special damages; 
• Total liability, if any, shall not exceed the fees paid to B2B-VIP for the specific Service giving rise to the claim.
   

This includes, without limitation, loss of income, loss of opportunity, loss of reputation, or business interruption.

You agree to indemnify and hold harmless B2B-VIP Executive Alliance, its officers, directors, contractors, and partners from any claims, damages, or expenses arising from:

• Your misuse of Services; 
• Your representations to third parties; 
• Your violation of these Terms.
   

Any references to employers, investors, service providers, tools, or resources are provided for informational purposes only and do not constitute an endorsement or guarantee.

B2B-VIP reserves the right to suspend or terminate access to Services at its sole discretion, including for violations of these Terms or conduct deemed harmful to the community or brand.

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

B2B-VIP may update these Terms at any time. Continued use of the website or Services constitutes acceptance of the revised Terms.
